These Terms of Service ("Agreement") govern your use of The Avanti Collective's website, community platform, programs, and related services (collectively, "Services"). By accessing or using our Services, you agree to be bound by this Agreement. If you do not agree, please do not use our Services.
1. Definitions
"We," "us," and "our" refer to The Avanti Collective, Inc. A "Visitor" is someone who browses our website without registering. A "Member" is someone who has created an account to access our Services. "User" refers collectively to Visitors and Members. "Content" refers to all text, information, graphics, design, and data offered through our website or Services, whether produced by us or by Members ("Member Content").
2. About Us
The Avanti Collective, Inc. is a nonprofit corporation organized under the laws of the State of Colorado (EIN: 33-4348864). Our Services are offered at theavanticollective.com and through associated platforms including Circle and Kajabi.
3. Eligibility
You must be at least 18 years of age to create an account or purchase any program or membership. By using our Services, you represent that you meet this requirement. If you are under 18, you may only participate with the involvement and consent of a parent or legal guardian.
4. Community Membership
Access to The Avanti Collective Community is free. By joining, you agree to engage in accordance with our membership standards, including the commitments to Growth, Care, and Contribution described on our Community page. You agree not to use the community for self-promotion, solicitation, harassment, hate speech, spam, or any conduct that degrades or harms other members.
We reserve the right to suspend or remove any member who violates these standards, at our sole discretion and without prior notice. Removal does not entitle you to a refund of any amounts paid for separate paid programs or memberships.
5. Paid Programs and Memberships
Some Services — including Thrive Lab membership, workshops, and other programs — require payment. All fees are stated at the time of purchase.
Recurring memberships (such as Thrive Lab) are billed on a monthly basis. You may cancel at any time through your account settings. Cancellation takes effect at the end of the current billing period; no partial refunds are issued for unused time within a billing cycle.
One-time purchases (such as workshops or standalone programs) are generally non-refundable after access has been granted, unless otherwise stated at the time of purchase or required by applicable law.
We reserve the right to modify pricing at any time. Changes to recurring membership pricing will be communicated to active members with at least 30 days' notice.
You represent and warrant that any payment information you provide is true and complete, that charges incurred will be honored by your bank or card issuer, and that you will pay all charges at posted prices including applicable taxes.
6. Intellectual Property
All Content provided through our Services — including curriculum, course materials, written content, video, audio, graphics, and frameworks — is the property of The Avanti Collective, Inc. and is protected by applicable copyright and intellectual property law. Your use of our Services does not grant you any ownership rights to our Content or any right to use our trademarks or service marks without our prior written permission.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use our Content for your own personal, non-commercial purposes. You may not reproduce, distribute, modify, publicly display, or create derivative works from our Content without our prior written permission.
7. Member Content
When you post or share content within our community or programs, you retain ownership of that content. By sharing it, you grant The Avanti Collective a license to use, copy, distribute, publicly display, reproduce, translate, edit, and reformat your Member Content in connection with the operation of our Services and organization — for example, highlighting a community post in a newsletter or on social media. You will not be compensated for Member Content. You warrant that you own or are authorized to share any content you post.
8. Unlawful Activity
We reserve the right to investigate complaints or reported violations of this Agreement and to take any action we deem appropriate, including reporting suspected unlawful activity to law enforcement officials or regulators and disclosing any information necessary or appropriate to such persons relating to your profile, email address, usage history, posted materials, IP address, or traffic information.
9. Links
Links to our website: You may link to our website provided you do not frame or obscure any portion of it, your website does not engage in illegal or pornographic activities, and you cease linking immediately upon our request.
Links from our website: Our website may contain links to third-party websites. Inclusion of any link does not imply endorsement or affiliation. We have no control over third-party websites and you access them at your own risk. We recommend reviewing the privacy policies and terms of any third-party sites you visit.
10. Privacy
Your use of our Services is also governed by our Privacy Policy, available at theavanticollective.com/privacy-policy. By using our Services, you consent to the data practices described there.
11. Disclaimers
Our Services are provided for personal development and community purposes. We do not provide medical, mental health, legal, or financial advice. Nothing in our programs or community should be construed as professional advice of any kind. Always consult a qualified professional for matters requiring professional expertise.
Our Services are provided "as is," "as available," and "with all faults." All express or implied warranties are disclaimed, including implied warranties of merchantability and fitness for a particular purpose. We do not guarantee specific outcomes from participation in any program or community, and we are not responsible for the online or offline conduct of any User.
12. Limitation of Liability
To the fullest extent permitted by law, The Avanti Collective, Inc. and its officers, directors, employees, and facilitators shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits or data — arising from your use of our Services, even if we have been advised of the possibility of such damages. Our total liability to you for any claim shall not exceed the amount you paid us in the month preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify, defend, and hold The Avanti Collective, Inc. and its officers, directors, employees, agents, and affiliates harmless from any liability, loss, claim, and expense — including reasonable attorney's fees — related to your violation of this Agreement or your use of our Services.
14. Dispute Resolution and Arbitration
Any legal controversy or claim arising from or relating to this Agreement or our Services — excluding legal action taken by us to collect damages or obtain injunctive relief relating to intellectual property or website operations — will be settled by binding arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any such claim will be arbitrated on an individual basis and will not be consolidated with any claim of any other party. Each party will bear half the arbitration fees and costs.
Arbitration will be conducted in Weld County, Colorado. Judgment on the arbitration award may be entered in any court of competent jurisdiction. Either party may seek interim or preliminary relief from a court in Weld County to protect rights or property pending arbitration.
Any cause of action arising from your use of our Services must be brought within one (1) year of the date the cause of action arose, or it will be permanently waived.
15. Governing Law
This Agreement is governed by the laws of the State of Colorado without regard to its conflict of law provisions. You agree to submit to the personal jurisdiction and venue of the courts of Weld County, Colorado for any matters not subject to arbitration under Section 14.
16. Severability and Survival
If any provision of this Agreement is held invalid or unenforceable, that provision will be construed consistent with applicable law and the remaining provisions will remain in full force. Our failure to enforce any provision will not be deemed a waiver of that provision or our right to enforce it. Rights and obligations under this Agreement that by their nature should survive termination will do so.
17. Changes to This Agreement
We reserve the right to update this Agreement at any time. We will notify active Members of material changes by email or prominent notice on our website at least 30 days before changes take effect. Your continued use of our Services after that period constitutes acceptance of the updated Agreement. No amendment will retroactively alter any pending dispute resolution proceedings without the express agreement of both parties.
